Before we get to work together, please take a moment to read how DSG Grant Partners operates. These Terms of Service outline what you can expect from us, and what we ask in return.

01 — Who We Are

DSG Grant Partners is a boutique grant strategy and nonprofit consulting firm founded by Daria "Ria" Smith Giraud. We serve newly formed and growing nonprofits, associations, and mission-driven organizations across the United States. Our services include grant writing, grant management, nonprofit branding, proposal strategy, social media management, and related consulting services.

By engaging DSG Grant Partners — whether through our website, a signed proposal, a consulting agreement, or payment — you agree to these terms in full.

02 — Our Services

DSG Grant Partners provides professional consulting services scoped to each client's unique needs. Services are defined in a written Scope of Work (SOW) or service agreement issued before work begins. No work is initiated without a signed agreement and a confirmed deposit or payment on file.

We do not provide legal, tax, financial, or accounting advice. All grant strategy and writing services are advisory and consultative in nature.

03 — Payment Terms

All projects require a deposit before work begins — typically 50% upfront for project-based engagements. Monthly retainer services are billed at the start of each service period and are non-refundable once the billing cycle has begun.

Invoices are due within 7 business days of receipt. Accounts more than 14 days past due may result in a pause of services until payment is received. Returned or disputed payments may be subject to a $35 processing fee.

Payments are processed through Upwork or another agreed-upon platform as outlined in your service agreement.

04 — No Guarantee of Funding

Grant writing is a competitive, outcomes-based field. While DSG Grant Partners brings rigorous federal-grade discipline, Shipley methodology, and persuasive narrative strategy to every application, we cannot and do not guarantee that any grant application will be awarded.

Funding decisions are made entirely by the funder — not by us. Our commitment is to deliver the highest-quality, compliant, and compelling submission possible within your scope.

05 — Confidentiality

We take your organization's privacy seriously. DSG Grant Partners will not share, sell, or disclose your organizational data, financials, program details, or internal documents to any third party without your written consent — except as required by law.

We may use general, non-identifying information about the work we do together (e.g., sector, project type, outcome) in our portfolio or marketing materials unless you request otherwise in writing.

06 — Intellectual Property

All original written content, proposals, grant narratives, graphics, and strategic documents created by DSG Grant Partners for your organization become your property upon receipt of full payment.

Any templates, frameworks, tools, or methodologies used or shared during our engagement remain the intellectual property of DSG Grant Partners and may not be resold, redistributed, or repurposed for commercial use without written permission.

07 — Client Responsibilities

A successful partnership requires your active participation. You agree to provide accurate, complete, and timely information needed to complete the work — including organizational data, program descriptions, budgets, IRS documentation, and funder requirements.

Delays caused by late or incomplete client materials may affect deadlines. DSG Grant Partners is not responsible for missed grant deadlines resulting from client delays.

08 — Revisions & Scope Changes

Each service agreement includes a defined number of revision rounds. Requests that fall outside the agreed scope — including additional grant applications, new service areas, or significant changes in project direction — will be quoted separately and require a new or amended agreement.

09 — Termination

Either party may terminate a service agreement with 14 days written notice. Upon termination, you will be invoiced for all work completed through the termination date. Deposits are non-refundable. Any deliverables completed and paid for will be transferred to you upon final payment.

DSG Grant Partners reserves the right to immediately terminate any engagement if a client engages in conduct that is abusive, unethical, or in violation of these Terms.

10 — Limitation of Liability

DSG Grant Partners' total liability for any claim arising out of our services shall not exceed the total fees paid by the client in the 30 days preceding the claim. We are not liable for indirect, incidental, or consequential damages of any kind.

11 — Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved through good-faith negotiation first. If unresolved, disputes shall be submitted to binding arbitration in Travis County, Texas.

12 — Changes to These Terms

We may update these Terms from time to time. When we do, the "Last Updated" date at the top of this page will reflect the change. Continued use of our services after an update constitutes acceptance of the revised Terms.
